General Terms and Conditions for Clients of Signature Pet Transport

General: These General Terms and Conditions apply to all services ("Services") provided by Signature Pet Transport, a DBA and Registered Trademark of Christian A Diaz Global Inc, a corporation based in the state of California ("Signature Pet Transport"), to its customers ("Customer"). All orders by Customer shall be subject to these General Terms and Conditions, which, along with the specific terms set out in the quote ("Quote"), constitute the entire agreement ("Agreement") regarding Customer's order. This Agreement supersedes all prior agreements, understandings, representations, or warranties, whether oral or written, between Customer and Signature Pet Transport concerning such order. No subsequent statements or variations to these General Terms and Conditions or the Quote shall be binding unless agreed to in writing by Signature Pet Transport. Acceptance of Signature Pet Transport's Quote by Customer signifies acceptance of and agreement to these terms and conditions. Any additional, inconsistent, or different terms and conditions in documents submitted by Customer at any time are expressly rejected.

Payment: All orders must be pre-paid by Customer unless otherwise agreed by Signature Pet Transport on a case-by-case basis. Should additional costs arise, they must be settled within 24 hours of notification via credit card, with a 3% convenience fee added for credit card payments.

Completion of Services: Delivery dates provided by Signature Pet Transport are approximate and not guaranteed. Due to the variables in providing Services, all stated completion/delivery dates are estimates made in good faith. Signature Pet Transport is not liable for any losses or damages resulting from delivery delays.

Customer Warranty, Authorization: Customer warrants that the animal is healthy, in good physical condition, and not dangerous or aggressive. Customer is responsible for any property damage, injuries to Signature Pet Transport employees or others, or harm to other animals caused by Customer's animal during transport and must promptly compensate for such damages. Customer indemnifies Signature Pet Transport against any claims or losses from such incidents. Customer authorizes Signature Pet Transport to seek emergency services for the animal as deemed necessary, with all associated costs to be borne by Customer.

Signature Pet Transport Warranty: Signature Pet Transport warrants that it will perform the Services with skilled, experienced, and qualified personnel in a professional manner according to industry standards and will allocate sufficient resources to fulfill its obligations under this Agreement. Except as expressly stated in this Agreement, Signature Pet Transport disclaims all warranties, whether express or implied.

Customer’s Remedy, Limited Liability: If the Services fail to meet the Quote's specifications, Signature Pet Transport will credit or refund the Service price at the pro rata contract rate. Signature Pet Transport's liability is limited to this remedy and must be claimed within 30 days of defect discovery. Signature Pet Transport's liability for any claims related to the Services, regardless of the claim basis, shall not exceed the amount paid by Customer for the Services. Signature Pet Transport is not liable for special, indirect, incidental, or consequential damages.

Force Majeure: Signature Pet Transport is not liable for Service delays or failures caused by circumstances beyond its reasonable control ("Force Majeure"), including labor disputes, shortages, political unrest, natural disasters, and government interference. In such cases, Signature Pet Transport may terminate or postpone the Agreement or delivery dates and will refund any payments made by Customer, minus any entitled deductions, without further liability.

Event of Default: Signature Pet Transport may suspend Services or terminate the Agreement without liability if Customer breaches the Agreement terms, fails to make timely payments, or becomes insolvent or subject to bankruptcy proceedings.

Assignment; Severability: Customer may not assign its rights or obligations under this Agreement without prior written consent from Signature Pet Transport. If any provision is found to be invalid or unenforceable, the remaining provisions will remain in effect.

Attorney’s Fees; Non-Waiver: In any legal action arising from this Agreement, Signature Pet Transport is entitled to recover reasonable attorney's fees and costs from Customer. Failure to enforce any Agreement rights or provisions does not waive those rights or provisions.

Governing Law; Jurisdiction: This Agreement is governed by California law, excluding its choice of law rules. Any legal proceedings related to this Agreement must be conducted in the state and federal courts of California, to which the parties consent to personal jurisdiction and venue.
